Article I – Name
-
–
The name of this organization is the Ahlul
Bayt Foundation of America.
Article
II – Preface, Aims and Objectives
2.1
– Preface
The
Muslim community of Ashna-e-Ashrie faith and belief of North of
Greater Houston and neighboring cities, Texas USA felt the necessity
of their religious and community service center where they could
perform and practice their faith and belief and provide the
religious teachings to their young generations and helping services
to their community at large.
Thus
after the detail discussion with the North of Greater Houston
community members and due consideration of all the aspects of
federal, state and local Government’s requirements, legalities and
technicalities, Collectively consented to have a such a center under
the name of the “Ahlul Bayt Foundation of America”, manage
and financed by the North of Greater Houston community members at
“No Profit Basis”.
The
following will be the constitutional structure of the Ahlul Bayt
Foundation of America and is subject to the approval by the present
selected board of directors and the general body comprising of the
registered members of the Ahlul Bayt Foundation of America.
Any
addition, deletion or any other amendments in the By-laws are only
to be done and approved by the “Members of the Executive Branch
(Board of Trustees) with relative majority and by the general body
of the registered members of Ahlul Bayt Foundation of America.
Further
more the By-laws and amendments (if any) are also subjected to be
approved by the federal, state and local Government or by their
designated authorities.
The
By-laws and amendments (if any) after due approval by the present
members of the board of directors, general body, federal, state and
local Government will immediately become enforceable and quotable
document and the property of the Ahlul Bayt Foundation of America.
The
copies of the By-laws and amendments (if any) will always remain
obtainable to the federal, state or local authorities, members of
the board of trustees, members of the operative branch, registered
members of the general body of the Ahlul Bayt Foundation of America
and the commoners of the community.
2.2
– Aims and Objectives
The aims and the objectives of the Ahlul Bayt
Foundation of America are to perform and practice Muslim
Ashna-e-Ashrie faith and belief in the following ways and manner:
-
To
organize and hold prayers and worship individually and
collectively.
-
To
organize and hold Muslim Ashna-e-Ashrie faith gatherings,
lectures and sermons round the year.
-
To
organize and hold religious gatherings of different faiths and
believes to introduce Muslims Ashna-e-Ashrie faith to
Non-Muslims members of our community.
-
To
organize and hold the religious teachings for the children of
our Muslim community by setting up schooling system and a school
in the name of “Ahlul Bayt Education Center”.
-
To
establish a Mosque at Ahlul Bayt Foundation of America (Prayers
and worship place).
-
To
establish an Imambargha (Place of religious rites and rituals).
-
To
establish a place for “ghusle-e-muiat” (Funeral Home).
-
To
carry out the Muslim community’s cultural and social events,
sports related activities of our young community children and
other activities what permissible under the federal, state, and
local laws and orders.
-
To
organize and establish as a strong Muslim Ashna-e-Ashrie faith
community of Houston, Texas USA and introduce a true picture of
Islam to Non-Muslim community members of Houston, Texas USA by
utilizing community gatherings, Newspapers, Radio & Television.
Article III – Offices
3.1 – The
principle office of the Ahlul Bayt Foundation in the state of Texas
will be located in the city of Greater Houston, County of Harris.
The Ahlul Bayt Foundation may have such other offices, with in the
State of Texas, as the members of Board of Trustees may determine or
as the affairs of the Ahlul Bayt Foundation may require from time to
time.
3.2 - The Ahlul Bayt Foundation of America will have
and continuously maintain registered office that may be, but need to
be, the same as principal office.
3.3 - The Ahlul Bayt Foundation will have and
continuously maintain members of the Operative Branch (Elected)
whose office is identical with the registered office. The registered
office may be, but need to be, identical with the principal office,
and the members of the board of Trustees may change the address of
the registered office. Such a change should be approved by the
members of the Board of Trustees and should be filed with the
Secretary of the State within the time allowed by the State.
Article IV –
Members/Registration
4.1- The registration to become a member of Ahlul
bayt Foundation of America is mandatory. The registration of the
members of Ahlul bayt Foundation of America will be against at “No
Cost Basis”. The membership has to be renewed
every two years. Each member will have the right to vote for the
Operative Branch of Ahlul bayt Foundation. The other rights of the
members will be discussing in detail in “Rights and Duties of the
members of Ahlul bayt Foundation of America”.
4.2 – Any Ashna-e-Ashrie Muslim could become a member
of theAhlul Bayt Foundation of America.
4.3 - Ashna-e-Ashrie Muslim is a person who belief in
Holy Quran which states that there is only one God; Prophet Mohammed
PBUH is the messenger of God; Imam Ali ASA is his successor; and the
Holy Quran is the last revelation. There are 12 Twelve Imams
Apostles to carry forward the message of God after the death of
Prophet Mohammed PBUH.
Article V – Organizational Structure
5.1
– Executive Branch:
The
Executive Branch of the Ahlul bayt Foundation of America is to be
comprised of: “The Members of the Board of Trustees”. The
Board of Trustees will be the sole owner of the property of The
Ahlul Bayt Foundation of America.
The criteria to become a “Member of Board of Trustees” are
following:
-
The
person must be from the Muslim community of Ashna-e-Ashrie faith
and strong belief, and must be the basic member of Ahlul bayt
Foundation of America.
-
There is no absolute restriction of age, sex, color, ethnic
origin & national origin.
-
The
individual will be selected not elected from the Muslim
Ashna-e-Ashrie faith community.
-
In
each calendar year each member of the board of trustees must
bring the donation of 5000.00 US Dollars for the strong finance
of the Ahlul Bayt Foundation of America. The members of the
board of trustees will be life long members as long as they are
bringing their 5000.00 us dollars donation in each calendar
year.
-
There is no maximum limit for the members of board of trustees
of Ahlul bayt Foundation in their numbers. The minimum numbers
should not be less than five members at any given time of the
year.
-
The
members of board of trustees will meet four times every year.
Second Friday after namaz-e-maghriben after every 03 months in
the office of Ahlul bayt Foundation.
-
The
present members of the Board of Directors of the Ahlul bayt
Foundation of America are the life long members of the Board of
Trustees of the Ahlul bayt Foundation of America.
-
Members of the board of trustees of Ahlul bayt Foundation will
directly supervise the quality work from the office bearers of
the operative branch of Ahlul bayt Foundation.
-
All
the members of the board of trustees of Ahlul bayt Foundation
are based on volunteer basis with full of their consent and
conscious. If any member of the board of trustees is willing to
resign, he/she has to submit his or her written resignation in
front of the active members of the board of trustees of that
time. The resignation of the member of board of trustee must be
approved by the absolute majority of the members of board of
trustees of Ahlul bayt Foundation of one time.
-
Each member of the board of trustees will take oath according to
the Muslim Ashna-e-Ashrie faith and belief.
-
All
the services of each member of board of trustees of Ahlul bayt
Foundation will be absolutely with out any financial
compensation.
-
Any
action what so ever of any member of the Board of Trustees &
members of the Operative branch of the Ahlul bayt Foundation of
America is not liable to be sued.
-
Any
active member of the Board of trustees of the Ahlul bayt
Foundation of America is not entitled to contest the election
for the office bearer of the operative branch of the Ahlul bayt
Foundation of America.
Duties of the members of The Board of Trustees:
-
To
meet in the board of trustees meeting four times a year.
-
To
organize and supervise the elections of office bearers of the
Operative branch of Ahlul bayt Foundation of America every two
years.
-
To
promote and introduce the Muslim Ashna-e-Ashrie community to
Non-Muslims through our character and belief.
-
To
provide the strong Education & Strong Finance to the Ahlul bayt
foundation of America.
5.2
– Operative Branch:
The Operative Branch of the Ahlul Bayt Foundation of
America will consist of following office bearers:

Program Director ( Elected)

Finance Director (Elected)

Publication & Communication Director (Elected)

Facility Director(Elected)
Resident Aalim (Selected by the members of The
Board of Trustees)
The Operative Branch of the Ahlul Bayt Foundation
comprises of the President Elect, General Secretary Elect, Program
Director Elect, Finance Director Elect, and Publication &
Communication Director Elect & Facility Director Elect.
The Resident Aalim will be selected from the
relative majority of the members of the Board of Trustees.
The criterion to become an office bearer in the
Operative branch of The Ahlul Bayt Foundation is the following:
-
The individual must be from the Muslim community
of Ashn-e-Ashrie faith and strong belief and must be the basic
member of Ahlul bayt Foundation of America.
-
There is no absolute restriction of age, sex,
color, ethnic origin & national origin.
-
All the members of Operative Branch of Ahlul bayt
foundation will be elected for two years from the Muslim
Ashn-e-Ashrie faith community of the Ahlul Bayt foundation.
-
The total tenure of each office bearer will be of
two years, which start from first year of rabiul-awaal to second
year of Safar.
-
The members of Operative Branch will meet every
second Friday after namaz-e-maghriben in every other month.
-
Every member of the operative branch of the Ahlul
bayt Foundation should donate Fifty Dollars (50.00) each month
in every calendar year.
-
Members of the operative branch of Ahlul bayt
Foundation are directly responsible for all the administrative
matters and day to day matters of Ahlul bayt foundation. They
have to fulfill their duties according to their job description.
-
All the members of the operative branch of Ahlul
bayt Foundation are based on volunteer basis with full of their
consent and conscious. If any member of the operative branch is
willing to resign, he/she has to submit his or her written
resignation in front of the active members of the board of
trustees of that time. The resignation of the member of the
operative branch must be approved by the relative majority of
the members of board of trustees of Ahlul bayt Foundation.
-
Each member of the elected operative branch will
take the oath according to the Muslim Ashn-e-Ashrie faith and
belief.
-
All the services of each elected member of
operative branch of Ahlul bayt Foundation will be absolutely
with out any financial compensation.
Duties of the Individual members of The
Operative Branch:
1. President (Elected):
-
To conduct the operative branch meeting every
second Friday alternate month after namaz-e-maghriben.
-
The President shall execute all the decisions
(minutes) of the board of trustees and will oversee all
implementation of the decision of the board of trustees of Ahlul
Bayt Foundation.
-
The President performs such functions as board of
trustees designates.
-
At occasions President with Program Director will
represent the Ahlul Bayt Foundation to other organization with
the directive of the Board of Trustees.
2. General Secretary (Elected)
-
The General Secretary will be responsible for
giving notices of all the meetings of the operative branch of
the Ahlul Bayt Foundation of America.
-
The General Secretary will prepare the agenda of
all such meetings in consultation with the President and
circulate the same to other members of the operative branch.
-
The General Secretary will record and maintain
full and proper minutes of all such meetings.
-
The General Secretary will also deal with all
matters that come to its attention in consultation with the
President.
-
The General Secretary will perform such other
duties as may be prescribed by the Board of Trustees or the
President.
-
The General Secretary will be responsible for all
the inventory of the Ahlul Bayt Foundation of America.
3. Program Director (Elected):
-
The Program Director will be responsible for all
the programs round the year.
-
The Program Director performs such functions as
board of trustees designates.
-
Each program shall be announced to the momineen
at least one month in advance of the date of the program through
the Publication & Communication Director.
-
At occasions Program Director with President will
represent the Ahlul Bayt Foundation to other organizations with
the directive of Board of Trustees
4. Finance Director (Elected):
-
The Financial Institution account will be in the
name of
"Ahlul Bayt Foundation of America”. The account
holders will be at least three members of the board of trustees of
that time and the fourth account holder will change every two years
which will be the Finance Director Elected (This account holder must
be add on or remove after the election).
-
The Finance Director will have a custody of the
Ahlul Bayt Foundation fund and will keep full and accurate
accounts and records of receipts, disbursements and other
transactions in the books belonging to the Ahlul Bayt Foundation
-
The Finance Director will collect all the
monthly, yearly pledges from the members of Ahlul Bayt
Foundation, donations and any other type of financial collection
from any organization.
-
The Finance Director will deposit all the funds
in such depositories as may be designated by the board of
trustees.
-
The Finance Director will disburse funds of the
foundation as requested by the other members of the operative
branch of Ahlul Bayt Foundation taking proper voucher for such
disbursements. The maximum limit of expenditure to authorize for
the members of board of trustees is 2000.00 at any one given
time. More than that expenditure Finance Director has to take
approval from more than one member of the board of trustees (the
expenditure must be related to the approved project).
-
The maximum limit of expenditure to authorize for
the members of operative branch of Ahlul Bayt Foundation is
500.00 at any one given time (the expenditure must be related to
the approved project). More than that expenditure Finance
Director has to take approval from the member of the board of
trustees.
-
The Finance Director shall render to the
President and other members of the operative branch the
financial condition of the foundation at regular meetings.
5. Publication & Communication Director (Elected):
-
The Publication & Communication Director is
responsible to coordinate and cooperate with the members of
board of trustees and with the members of operative branch of
Ahlul Bayt Foundation for all types of publication and
communication requirement.
-
The P/C Director is responsible to make a draft
of the minutes of operative branch meeting and hand over to the
General Secretary for record.
-
The P/C Director is responsible for quarterly
publication of Ahlul Bayt Foundation.
-
The P/C Director is responsible for all the
programs flyers
-
The P/C
Director is responsible for all the advertisement of year round
events with the consultation of President & Program Director.
-
The P/C Director is responsible for webside,
Radio Programs, TV Programs of Ahlul Bayt Foundation with the
consultation with President.
-
The P/C Director is responsible for sending mail
to all the members of Ahlul Bayt Foundation & to different
organizations.
-
Director of Education, Ahlul
Bayt Education Center
(Elected / Selected or
Appointed)
-
The Education Director of the Ahlul Bayt
Foundation will be responsible for the school and schooling,
supplies, timings of the classrooms, school educational record
through the entire 02 years of his/her tenure.
-
The Education Director will be responsible for
the implementation of all the prescribed Syllabus of Ahlul Bayt
Education Center, follow/implement the Ahlul bayt Education
center School Handbook, and policy/procedures for all the school
activities round the year.
-
The Syllabus Committee of Ahlul Bayt Foundation
of America should approve the Prescribed Syllabus.
-
The Syllabus Committee will comprise of at least
two members of Board of Trustees, Two members and of Operative
Branch, Resident Aalim & Education director of Ahlul Bayt
Education center.
-
The Elected Education Director will select the
Assistant Education director and the Ahlul Bayt Education Center
Committee only for his/her tenure.
-
The Assistant Education Director will work and
help the Education director and follow his/her instructions and
carry out the responsibilities of the education director in
his/her absence.
-
The Education Director is responsible through
his/her committee to prepare every student report cards, send
the report cards to their parents or guardians.
-
The Education Director of Ahlul Bayt Education
Center will communicate with other members of the operative
branch in the meeting, which will be held every second Friday in
the alternate month.
-
All the services of the Education Director and
his/her working committee will be absolutely with out any
financial compensation.
7. Facility Director (Elected):
-
The Facility Director will be responsible for the
procurement and maintenance of all the property of the Ahlul
Bayt Foundation of America.
-
The Facility Director will be responsible for the
general maintenance & upkeep of the facility including main
building of Mosque, Imam-bargha, School and parking.
-
The Facility Director will also be responsible
for the opening and closing of the Facility.
-
The Facility Director will have such other
authority as the Board of Trustees may from time to time
designate.
8. Resident Aalim (Selected/Appointed):
-
The Resident Aalim will be responsible to carry
out daily prayers, Friday prayer and other Special Prayers at
the Mosque of the Ahlul Bayt Foundation of America.
-
The
Resident Aalim will be the appointed male individual who should
have deep knowledge of
Muslim Ashna-e-Ashrie
faith and belief.
-
The Resident Aalim will get compensation for his
services, which will set forth by the members of board of
trustees.
-
The appointing authority for Resident Aalim will
be the members of board of trustees with relative majority.
-
The Resident Aalim will be responsible of all the
religious matters of the members of Ahlul Bayt Foundation of
America.
-
The Resident Aalim is responsible for the regular
religious programs round the year.
-
At some occasions with the approval of the Board
of Trustees, the resident Aalim may hold the position of the
Education Director of the Ahlul Bayt education center.
-
The members of the board of trustees have hiring
and firing authority of the resident aalim with written notice
of 30 days from either side.
-
If the Resident Aalim resigned or terminated from
his assigned duties for any reason what so ever, he should not
work in any capacity in the state of Texas as a Resident Aalim.
Article VI – Administration
6.1 – The Administration of the Ahlul bayt Foundation
of America will be run by the “Members of The Executive Branch
(Board of Trustees Life Long Selected based on the certain
criteria)” and the “Members of the Operative Branch (Elected for
every two years through the registered members of Ahlul bayt
Foundation)”.
Article VII – General Body
7.1 - The “General body” will comprise of the
registered members of The Ahlul Bayt Foundation of America.
Article VIII – Dissolution
8.1 - The duration of the Ahlul bayt Foundation of
America is perpetual. The Foundation will only be dissolved in a
General Body Meeting of the registered members of Ahlul bayt
Foundation of America.
8.2 - To dissolve the foundation a resolution should
be passed at General Body meeting supported by 95% of the registered
members of the Ahlul bayt Foundation of America.
Article IX – Finance & Fiscal Year
9.1 - The fiscal year of the Ahlul Bayt Foundation of
America will begin on the first day of Moharrum and end of the last
day of Ragab in each Hijri year.
9.2 - The Accounts of the Ahlul bayt Foundation of
America should be audited annually by the external CPA designated by
the members of the Board of trustees of the Ahlul bayt Foundation of
America.
Article X – Election
10.1 – The election system and process will be
adopted for electing the members of “Operative Branch of Ahlul Bayt
Foundation of America” for every two years in the month of Rabi-ul-awal
(second Saturday and Sunday in the premises of Ahlul Bayt Foundation
of America).
10.2 - The members of the board of trustees will
conduct the whole process of election and will administer the oath
to the newly elected office bearers of operative branch.

If any elected office bearer will submit written
resignation to the board of trustees, members of the board of
trustees will assign his/her duties to some other elected office
bearer of the operative branch or to any member of the board of
trustees.
-
Each registered member of the Ahlul Bayt
Foundation of America who is minimum of 18 years of age is
eligible to cast their vote for the election of the members of
operative branch with only valid picture ID.
Article XI – Vote of No Confidence
11.1 - In case of dissolving the members of the
operative branch, as a whole or any individual office bearer or
member of Ahlul Bayt Foundation of America, only the members of the
board of trustees with absolute majority will be empowered to take
such an action or decision.
Article XII – AD-HOC Committee
12.1 - In order to run, temporarily, the affairs of
the Ahlul Bayt Foundation of America, only the members of the board
of trustees of Ahlul Bayt Foundation will be empowered to constitute
and appoint the Ad-hoc committee.
Article XIII – Property
13.1 - The building and premises, furniture and
furnishings, equipment and accessories, Literature and Products,
books and files, Rack and fixers, Record and Documents, Etc.,
purchased by or donated to the Ahlul Bayt Foundation of America will
be entirely deemed as property of the Ahlul Bayt Foundation of
America.
13.2 - The inventory should be maintained in the
books of Ahlul Bayt Foundation of all the property items of 13.1.
Article XIV – Treasury
14.1 - The cash and valuables will be treasured in
the Bank and Lockers in the USA.
Article XV – Amendments to
by-law
15.1 – These by-laws may be altered, amended or
repealed and new by-laws may be adopted by the absolute majority of
the members of the board of trustees of Ahlul Bayt Foundation of
America present at any regular meeting or at any special meeting, If
at least 60 days written notice is given of intention to alter,
amend or repeal or to adopt new by-laws at such meeting.
Article XVI – Duties & responsibilities of
registered members of Ahlul Bayt
Foundation of America
16.1- Every registered member of the Ahlul Bayt
Foundation of America who is eligible to cast their vote for
operative branch, could become the member of the Board of trustees
and member of the operative branch of the Ahlul Bayt Foundation, as
long as each member is meeting the criteria set forth in our by-laws
of Ahlul Bayt Foundation of America.
16.2- Each member has to renew his/her membership
every two year at the time of election of Ahlul Bayt Foundation of
America.

Each registered member of Ahlul Bayt Foundation
of America is the representative of Ahlul Bayt Foundation to
Non-Muslim Community for his/her behavior and character.
-
Each registered member of Ahlul Bayt Foundation has right to
give a written suggestion to the members of the board of
trustees for the better service of the Muslim community.

will comprise of the registered members of The Ahlul Bayt Foundation
of America.

Ahlul Bayt Foundation of America is perpetual. The Foundation will
only be dissolved in a General Body Meeting of the registered
members of Ahlul Bayt Foundation of America.
8.2 - To dissolve the
foundation a resolution should be passed at General Body meeting
supported by 95% of the registered members of the Ahlul Bayt
Foundation of America.

V – Organizational Structure:
5.1 –
Board of Trust:
Dissolution of existing
members of Executive Branch / Operative Branch including Chairman
(Chief Executive Officer) by the General Body.
All existing accounts (EB &
OP) will be closed effective immediately.
PHASE – I:
Criteria to
become a “Patron / Mutawulee”
-
The individual will be
from the Muslim Ashna-e-Ashrie faith community & believes in
TAQVA. There is no restriction of age, sex, color, ethnic origin
& national origin.
-
The individual will raise
each calendar year donation of $12,000.00 (Twelve thousand
dollars) for the strong financial stability of the Ahlul Bayt
Foundation of America.
-
Patron will maintain
the legal framework of the Corporation.
Duties:
-
Patron will organize
& supervise the members of AHLULBAYT MANAGEMENT COMMITTEE of
Ahlul Bayt Foundation of America.
-
Call the General
Body once a year or when ever needed for the Ahlul Bayt
Community services at large.
-
Organize & select

PHASE – II:
Member Families Board
of Trust:

The families (not
individual) could become the active members of Board of Trust by
contributing $500.00 (minimum amount) each month on volunteer
basis to make the Ahlul Bayt Foundation financially strong.
Patron will be the team leader of future Board of Trust.

Member families will be
only responsible to facilitate strong finance & education of
Ahlul Bayt Foundation of America.

The member families must
be from Muslim Ashna-e-Ashrie faith community & believes in
TAQVA. There is no restriction of age, sex, color, ethnic origin
& national origin.

There is restriction of
maximum five member families of Board of Trust.
5.2 –
AHLULBAYT MANAGEMENT COMMITTEE:
The AMC (Four Members) of
the Ahlul Bayt Foundation of America will be nominated from the
Ahlul Bayt Community at large.
One year term, appointed by
the Caretaker.
*This current selected team
will be for next six month.
** Any member of the
selected team will be change by caretaker.
Basic Member will
contribute $25.00/Month
Members (Families)
General Body of Ahlul Bayt Foundation of America will contribute
$100.00/month (Minimum) to be eligible for Vote/Member, AMC
Resident
Aalim/ Education Director: Will be appointed by the Patron
Duties of the members of AMC
will be assigned in very near future by the caretaker.
The AHLULBAYT MANAGEMENT
COMMITTEE will meet (Four times a year for administrative purposes)
with Patron. Members must be present for a minimum of 3 out of 4
mandatory meetings.
